Old Mac's Consultancy ("the Company") provides recruitment, management, and consultancy services to educational institutions ("the Client") and educational professionals ("the Candidate"). By engaging our services, both Clients and Candidates agree to be bound by these terms and conditions.
1. Definitions
2. Recruitment Services (Placement)2.1. The Company acts as an introduction agency, identifying suitable Candidates based on criteria provided by the Client.
2.2. Screening: The Company makes reasonable efforts to verify qualifications, identity, and right-to-work, and to obtain references. However, the Client is responsible for final vetting, including conducting their own interview and ensuring the candidate is suitable for the role.
2.3. Background Checks: Final responsibility for criminal background checks (e.g., DBS, FBI checks) lies with the Hiring Client, unless explicitly contracted as part of the management service.
2.4. Fees: Fees are monthly, based on the specific fee structure detailed in the signed contract.
3. Management Services (Staffing Agency)3.1. When the Company manages the teacher, the Teacher is contracted to the Company (or its partner agency) and assigned to the Client.
3.2. Employment Status: Teachers assigned by the Company are not employees of the Client or the Company, but rather they are sub-contractors. Teachers are responsible for their own taxes. The Company is responsible for invoicing the Client with hours worked by the Teaches and dispersed in line with the specific structure detailed in the signed contract.
3.3. Timesheets: The Client agrees to verify the hours worked by the teacher via the Company’s timesheet system. Approved timesheets are final.
3.4. Safety & Conduct: The Client must provide a safe working environment and inform the Company of any health and safety issues. The Client must notify the Company immediately of any misconduct.
4. Consultancy Services
4.1. Consultancy services (e.g., curriculum planning, teacher training) are provided as specified in the Statement of Work (SOW).
4.2. The Company provides advice based on industry best practices but does not guarantee specific outcomes or school performance improvements.
5. Fees and Payment
5.1. Invoicing: Invoices are issued upon monthly management services.
5.2. Payment Terms: Invoices must be submitted no later than the 6th day of each month. Invoices are due no later than the 10th day of each month.
5.3. Late Payment: The Company reserves the right to suspend services.
6. Liability and Indemnification
6.1. The Company is not liable for any loss, damage, costs, or compensation (whether direct or indirect) incurred by the Client arising from the negligence, dishonesty, misconduct, or lack of skill of the Candidate.
6.2. The Client indemnifies the Company against all losses or expenses arising from the Client's breach of these terms, including health and safety violations.
7. Confidentiality and Data Protection
7.1. Both parties agree to handle personal data in accordance with relevant data protection laws (e.g., GDPR).
7.2. Candidate data provided by the Company is confidential and must not be passed to third parties.
8. Termination
8.1. Either party may terminate the agreement with 30 days' written notice.
8.2. In the event of breach of contract, the Company may terminate immediately.
8.3. Termination does not relieve the Client of the obligation to pay for services already rendered.
9. Governing Law
9.1. These terms are governed by the laws of New Zealand. Any disputes shall be resolved in the courts of New Zealand.
10. Contract
10.1. Both the Company and the Client enter into a signed agreement specifically detailing the Company and individual Client conditions. The contract will include but is not limited to the protection of intellectual property, non-solicitation, fees, refunds and cancellation policies.

Old Mac's Schoolhouse ("Old Mac’s") provides online language lessons, curriculum, teacher and administration services to clients ("Students"). By engaging in our services,

- “Services” means lessons, curriculum and any related administration like enrollments
- “Bundle” means a group of lessons purchased at one time.
1. Services Provided
1.1 Old Mac’s provides one-on-one online English language coaching and lesson bundles. These sessions are conducted via Voov, Zoom, Koala or other online platforms. Teachers are provided subject to availability.
2. Payments and Pricing
2.1 All prices are listed in USD and are inclusive of GST (if applicable in NZ)
2.2 Payment must be made in full at the time of booking or purchasing a bundle.
2.3 Old Mac's use secure third-party payment processors. Old Mac’s do not store your credit card information.
3. Lesson Bundles: Non-Refundable & Transferable
3.1 Old Mac’s offer lesson bundles to provide better value to our students. By purchasing a bundle, the Student agrees to the following:
3.1.1 Non-Refundable: Once a bundle is purchased, it is strictly non-refundable, regardless of whether any lessons have been used. This applies to changes of mind, technical issues on the Student's end, or personal schedule changes.
3.1.2 Transferable: While Old Mac’s do not offer refunds, bundles are fully transferable. The Student may give the remaining hours to another student. To transfer a bundle, the Student must notify Old Mac’s in writing at oldmacsenglishschool@gmail. com or Wechat +52 313 730 3391 with the recipient's contact details including Email and Wechat.
4. Cancellation and Rescheduling
4.1 To respect Old Mac’s teacher’s time, the following policy applies to individual bookings:
4.1.1 Notice Period: The Student must provide at least 24 hours notice to reschedule a lesson.
4.1.2 Late Cancellations: Lessons cancelled with less than 6 hours notice will be forfeited and charged in full.
4.1.3 No-Shows: If a Student is more than 15 minutes late, the lesson will be cancelled and no refund or credit will be issued.
5. Expiration Policy
5.1 Unless otherwise stated at the time of purchase, all lesson bundles expire 12 months from the date of purchase. Any unused hours after this period will be void.
6. International Use and Governing Law
6.1 Global Access: Old Mac’s welcome students from all over the world. However, the Students are responsible for ensuring they have a stable internet connection and the necessary software to attend lessons.
6.2 Jurisdiction: These terms are governed by the laws of New Zealand. Any disputes will be subject to the exclusive jurisdiction of the New Zealand courts and the New Zealand Disputes Tribunal.
6.3 Consumer Rights: If the Student is a consumer under the NZ Consumer Guarantees Act, they have certain rights. Nothing in these terms is intended to limit those rights where they cannot be legally excluded.
7. Code of Conduct
7.1 Old Mac’s maintain a professional and respectful learning environment and reserves the right to terminate services immediately without a refund if a student engages in behavior that is abusive, offensive, or inappropriate toward our tutors.
8. Confidentiality and Data Protection
8.1 Old Mac’s agrees to handle the personal data of the Student in accordance with relevant data protection laws (e.g., GDPR). Old Mac’s agrees to keep all of the Student’s information confidential and must not be passed to third parties.
